Transfer of Ownership

Seller's Side:

Requirements:-

1. Minutes of Meeting of the shareholders and/or director/s resolving the sale of the vessel. 

2. A Power of Attorney authorising the signatory of the Bill of Sale. 

3. The original Bill of Sale. Please ensure that all the vessel’s particulars on the Bill of Sale correspond to the ship’s register at the Merchant Shipping Directorate (formerly Malta Maritime Authority) (that is, in accordance with the Certificate of Registry).
We suggest that the Bill of Sale be executed in Malta thus avoiding any possible last minute difficulties. In such case, please ensure that persons from our office are empowered through the Minutes and Power of Attorney to execute the Bill of Sale and to affect the transfer of ownership. 

4. Discharge of Mortgage or Mortgagee’s consent for the transfer of ownership (if applicable). 

5. Valid Certificate of Registry and Radio Licence

6. Settlement of all outstanding fees as well as the transfer of ownership costs. 

Your final written Specific Instructions to release the Bill of Sale and related documentation to the Buyers to effect the transfer of ownership.

 

Buyer's Side:

Requirements:-

1. Power of Attorney authorising us to register the vessel under the ownership of the Company unless otherwise empowered through the Memorandum of Association or through the Decleration of Resident Agent (if Foreign Body Entity)

2. Availability and Reservation of the New Name (if so required).The change of name is effected/registered when the Ship’s Carving and Marking Note with the new name, which is issued by the Merchant Shipping Directorate (formerly Malta Maritime Authority), is returned duly completed. The procedure may be hastened by faxing the blank form to you as soon as it is issued by the Merchant Shipping Directorate (formerly Malta Maritime Authority). This may be completed in original and faxed directly to the Merchant Shipping Directorate (formerly Malta Maritime Authority) by the person completing same. The fax copy of the Ship’s Carving and Marking Note duly completed in original is to be forwarded to us for filing. 

3. Shareholders and Directors details (addresses / dates & places of birth or incorporation / nationalities / passport or I.D. or incorporation numbers).  

4. To Establish from Sellers that the:-

  • Discharge of mortgage or consent from Mortgagee (if applicable) is secured before the transfer is effected;   
  • Certificate of Registry and Radio Licence are valid;   
  • Inspection on the vessel has been carried out (if over 20 years old), otherwise a declaration from Buyers undertaking to do so is required. Note that if vessel is found to be in a sub-standard condition, the Registrar reserves the right to delete the vessel from Malta flag;   
  • Vessel has been re-measured in accordance with the International Tonnage Regulations;   
  • Power of Attorney, Bill of Sale and any other related documentation for the transfer of ownership are in order. 

8. Requirements for the Issuance of New Certificates under the ownership of the new Company.

9. Remittance of Transfer of Ownership fees.
