Corporate Services - Annual Returns

According to the Merchant Shipping (Shipping Organisations – Private Companies) Regulations, Maltese registered companies are obliged to file annual returns and pay the relative fee of €100.00 (when the authorized share capital does not exceed €1,500) to the Registrar of Companies on the anniversary of company formation.

Failure to submit the first annual return would result in a fine being incurred.  However these fines have not yet been established and a legal notice will be be issued in the future.  As a guideline, according to the old regime the fines were of €5.82 together with the annual return fee of €163.06; viz. €168.88.  This amount is increased by a further €5.82 annually each time the company fails to present the annual return in time.

Failure to settle fines and/or annual return fees would result in legal action being taken by the authorities for the enforcement of payment.

Finally it is worth noting that annual returns are prepared by our office (upon receipt of funds) and signed by the director/s of the company or by a local special attorney, if so appointed.
